Our Wholesale program is for Customers that make one or more purchases utilizing the Wholesale Discounts.

The Wholesale Program includes the following 3 components:

Wholesale Discounts:

• 45% discount - purchase of 10 - 24 lids
• 50% discount - purchase of 25 - 49 lids
• 55% discount - purchase of 50 - 99 lids
• 60% discount - purchase of 100+ lids

Via Point Rewards:

In addition to the Wholesale discounts, ALL customers can participate in the ViaPoints Rewards points program that allows customers to redeem points valued at 5% of their previous purchases. 

Rebates:

Customers who purchase at least $750 USD of Product annually will receive a rebate of 5% of the amount purchased in that calendar year. The rebate will be provided in the form of ViaPoints which can be redeemed on purchases of PortaVia Lids.  This rebate program will be tracked for each calendar year (January 1 to December 31). Customers eligible for a rebate will receive their points within 60 days of year-end.

These Wholesale Terms & Conditions (“Terms”) apply to all wholesale purchases.

1. Acceptance of Terms

1.1 Requesting, receiving, or using wholesale pricing or discounts constitutes full acceptance of these Terms.
1.2 These Terms apply to all current and future wholesale orders unless replaced or amended in writing by the Company.

2. Marketing and Brand Representation

2.1 Any use of Company branding, images, or materials requires prior written approval unless such materials were provided directly by the Company.
2.2 Environmental or sustainability claims must be accurate and consistent with Company-provided information.

3. Resale and Distribution Requirements

3.1 Products must be sold in original and unaltered form.
3.2 Resale on third-party marketplaces (including Amazon, Walmart.com, eBay, Etsy, or similar) requires prior written approval.
3.3 Wholesaler may not alter or misrepresent the Products in any way.
3.4 Any minimum advertised price (MAP) policy issued by the Company must be followed.

4. Intellectual Property

4.1 All trademarks, logos, branding, product designs (including silicone lid designs), images, packaging, and related intellectual property (“IP”) belong exclusively to the Company.
4.2 No license or right to use Company IP is granted except for marketing and selling authentic Company Products as authorized.
4.3 Wholesaler may not copy, reproduce, reverse engineer, modify, or create derivative works based on the Products or packaging.
4.4 Unauthorized use of the Company’s IP constitutes a material breach and may result in immediate termination and legal action.

5. Product handling and Quality

5.1 Products must be stored and handled in clean, dry conditions suitable for food-grade silicone products.
5.2 Any defect or discrepancy must be reported within 7 days of delivery.
5.3 The Company’s sole obligation for verified defects is to replace or refund the defective items at its discretion 

6. Shipping and Risk of Loss

6.1 Unless otherwise agreed, shipping methods and carriers are selected by the Company.
6.2 Risk of loss transfers to the Wholesaler once Products are delivered to the carrier.
6.3 Delivery timelines are estimates and not guaranteed.

7. Returns

7.1 The Return Policy is noted on the Contact Us page of the Company’s website. 

8. Eligibility

8.1 The Company may approve, reject, or revoke wholesale status at any time in its sole discretion.
8.2 Unless otherwise agreed, by requesting wholesale access or placing an order using wholesale pricing, you confirm that you are purchasing for business resale purposes.

9. Compliance

9.1 Wholesaler must comply with all applicable laws, including product labeling, consumer protection, import/export, and e-commerce regulations.
9.2 Wholesaler is solely responsible for resale tax obligations in its jurisdiction.

10. Limitations of Liability

10.1 To the fullest extent permitted by law, the Company is not liable for indirect, incidental, or consequential damages.
10.2 The Company’s total liability for any claim is limited solely to the amount paid by the Wholesaler for the specific order at issue.

11. Termination

11.1 Either party may terminate the wholesale relationship at any time with written notice.
11.2 The Company may immediately terminate the relationship for any breach of these Terms.
11.3 Upon termination, Wholesaler must cease all use of the Company’s IP and comply with any post-termination instructions provided in writing.

12. Governing Law

12.1 These Terms are governed by the laws of Alberta, Canada, without regard to conflicts of law principles.
12.2 Any disputes shall be resolved exclusively in the courts located in Alberta, Canada.

13. Changes to These Terms

13.1 The Company may update or modify these Terms at any time.
13.2 The version posted on our website at the time of order or wholesale discount acceptance will govern that transaction.
13.3 Continued display or sale of Company Products constitutes acceptance of any updated Terms.
